第一条 语言与版本优先级 Article 1: Language and Version Priority

本协议以中文发布；如平台另行提供多语言版本，仅为阅读便利之用。如不同语言出现不一致，以本中文版本为准，除非您所在法域的强制性消费者保护规则另有规定。

This agreement is published in Chinese; if the platform provides multilingual versions, they are for reading convenience only. In case of inconsistency between different languages, the Chinese version shall prevail, unless otherwise required by mandatory consumer protection rules in your jurisdiction.

第二条 关于我们与同意机制 Article 2: About Us and Consent Mechanism

本协议由 BITHD Limited 与使用本产品/服务的个人或依法成立的实体订立。您点击"同意"、安装、访问或使用本服务，即表示您已阅读、理解并接受本协议全部内容及其更新。若您不同意，请立即停止使用并卸载/删除本应用。

This agreement is entered into between BITHD Limited and individuals or legally established entities using this product/service. By clicking "Agree", installing, accessing or using this service, you indicate that you have read, understood and accepted all contents of this agreement and its updates. If you do not agree, please immediately stop using and uninstall/delete this application.

第三条 平台定位与术语定义 Article 3: Platform Positioning and Terminology

平台定位：PandaWallet 为非托管（non-custodial）数字资产钱包与 DApp 访问工具。我们不代用户持有、存管、控制或传递任何法币或数字资产；不撮合交易，不提供清算或结算；不接触您的私钥、助记词或钱包密码。

Platform Positioning: PandaWallet is a non-custodial digital asset wallet and DApp access tool. We do not hold, custody, control or transmit any fiat currency or digital assets on behalf of users; we do not match transactions, nor provide clearing or settlement; we do not access your private keys, mnemonic phrases or wallet passwords.

主要术语：

Key Terms:

• "热钱包"：在联网设备上生成/管理地址并进行链上交互的工具。
• "Hot Wallet": A tool that generates/manages addresses on internet-connected devices and conducts on-chain interactions.
• "冷钱包"：在离线设备上生成/存储私钥并离线签名。
• "Cold Wallet": Generates/stores private keys on offline devices and signs offline.
• "私钥/助记词/PIN"：用于控制数字资产的本地机密，完全由您自行保管。
• "Private Key/Mnemonic Phrase/PIN": Local secrets used to control digital assets, completely under your own custody.
• "第三方服务/DApp"：由第三方独立运营的协议、合约、市场、法币出入金等服务。
• "Third-party Services/DApp": Protocols, contracts, markets, fiat on/off-ramps and other services independently operated by third parties.

第四条 服务内容与角色边界 Article 4: Service Content and Role Boundaries

• （一）钱包功能：本地生成/导入密钥；签名并与区块链交互；收款展示、转账、区块浏览器查询。
• (1) Wallet Functions: Local key generation/import; signing and blockchain interaction; payment display, transfers, blockchain explorer queries.
• （二）DApp 接入：平台提供入口或接口以便您访问第三方服务；您与第三方之间的法律关系独立存在，其合规义务（包括必要时的 KYC/制裁筛查）由第三方承担。
• (2) DApp Access: The platform provides entry points or interfaces for you to access third-party services; the legal relationship between you and third parties exists independently, and their compliance obligations (including KYC/sanctions screening when necessary) are borne by third parties.
• （三）信息与工具：行情、Gas 估算、提醒等仅供参考，不构成投资、法律或税务建议。
• (3) Information and Tools: Market data, Gas estimation, reminders, etc. are for reference only and do not constitute investment, legal or tax advice.
• （四）增值/测试功能：可能另有条款或限制（以功能页面提示为准）。
• (4) Value-added/Test Features: May have separate terms or restrictions (subject to feature page prompts).
• （五）地域限制：为符合法律与制裁要求，平台可能限制或拒绝向特定地区/主体提供服务。
• (5) Geographic Restrictions: To comply with legal and sanctions requirements, the platform may restrict or refuse to provide services to specific regions/entities.

第五条 用户资格与账户 Article 5: User Eligibility and Accounts

您应年满18周岁并具备完全民事行为能力；如代表法人实体使用，须确保获得有效授权。您不得位于受制裁地区，亦不得为受制裁主体或代表其使用本服务。

You must be at least 18 years old and have full civil capacity; if using on behalf of a legal entity, you must ensure valid authorization. You must not be located in sanctioned regions, nor be a sanctioned entity or use this service on behalf of one.

第六条 用户义务与禁止行为 Article 6: User Obligations and Prohibited Conduct

• 不得将本服务用于洗钱、恐怖融资、诈骗、黑客攻击、制裁规避或其他违法违规行为。
• Do not use this service for money laundering, terrorist financing, fraud, hacking, sanctions evasion or other illegal activities.
• 不得干扰服务运行、探测或绕过安全控制，不得散布虚假信息或侵犯第三方权益。
• Do not interfere with service operations, probe or bypass security controls, spread false information or infringe upon third-party rights.

第七条 自主管理与安全 Article 7: Self-Custody and Security

第八条 费用与税费 Article 8: Fees and Taxes

• 基础功能通常免费；部分增值功能可能收费（以页面/公告为准）。
• Basic functions are usually free; some value-added functions may be charged (subject to page/announcements).
• 矿工费/网络费由区块链网络收取，与平台无关。
• Miner fees/network fees are collected by the blockchain network and are not related to the platform.
• 使用第三方服务所产生的费用以其公示为准；用户自行承担相关税费并依法申报。
• Fees incurred from using third-party services are subject to their disclosure; users bear related taxes and declare them in accordance with law.

第九条 知识产权与许可 Article 9: Intellectual Property and Licensing

平台及其关联方对软件、商标、界面、文档与代码享有相应权利。授予您非独占、不可转让、可撤销的有限许可，仅用于使用本服务之目的。未经书面许可，不得反向工程、批量抓取或未授权商业利用。开源组件按其开源许可证执行。

The platform and its affiliates have corresponding rights to software, trademarks, interfaces, documentation and code. A non-exclusive, non-transferable, revocable limited license is granted to you solely for the purpose of using this service. Without written permission, reverse engineering, bulk scraping or unauthorized commercial use is prohibited. Open source components are governed by their open source licenses.

第十条 风险披露与责任限制 Article 10: Risk Disclosure and Liability Limitations

• 价格波动：数字资产价格高度波动，可能损失全部资金。
• Price Volatility: Digital asset prices are highly volatile and may result in total loss of funds.
• 技术风险：智能合约漏洞、网络拥堵/分叉、节点/桥接/跨链风险、权限滥用（无限授权）等。
• Technical Risks: Smart contract vulnerabilities, network congestion/forks, node/bridge/cross-chain risks, permission abuse (unlimited authorization), etc.
• 不可撤销：已广播的交易不可取消或回滚；即便失败亦可能产生矿工费。
• Irreversibility: Broadcast transactions cannot be cancelled or rolled back; even failed transactions may incur miner fees.
• 第三方风险：对第三方服务的真实性、合法性、安全性与可用性不作保证。
• Third-party Risks: No guarantee is made regarding the authenticity, legality, security and availability of third-party services.

在法律允许的最大范围内，平台不对任何间接、附带或后果性损失、利润或数据丢失负责。本条不排除或限制适用法域下的强制性消费者权利。

To the maximum extent permitted by law, the platform is not liable for any indirect, incidental or consequential losses, profits or data loss. This article does not exclude or limit mandatory consumer rights under applicable jurisdictions.

第十一条 服务变更、暂停与终止 Article 11: Service Changes, Suspension and Termination

因系统维护、技术故障、合规/制裁要求、风控需要或其他合理情形，平台可变更、限制、暂停或终止全部或部分服务，并在合理范围内提前或即时通知。

Due to system maintenance, technical failures, compliance/sanctions requirements, risk control needs or other reasonable circumstances, the platform may change, restrict, suspend or terminate all or part of the services, with advance or immediate notice within a reasonable scope.

第十二条 隐私与数据（引用） Article 12: Privacy and Data (Reference)

平台不收集或存储您的私钥、助记词或钱包密码。与设备、日志等数据的处理以独立生效的《PandaWallet 隐私政策》为准。

The platform does not collect or store your private keys, mnemonic phrases or wallet passwords. The processing of device, log and other data is subject to the independently effective "PandaWallet Privacy Policy".

第十三条 出口管制与制裁 Article 13: Export Controls and Sanctions

您承诺不位于全面制裁地区、非受制裁主体，亦不代表其使用本服务；不将本服务用于规避制裁或受限用途。平台可实施地理屏蔽、名单筛查、功能限制或终止，并依法配合监管与执法请求。

You undertake that you are not located in comprehensively sanctioned regions, are not a sanctioned entity, nor use this service on behalf of one; you will not use this service to evade sanctions or for restricted purposes. The platform may implement geographic blocking, list screening, function restrictions or termination, and cooperate with regulatory and enforcement requests in accordance with law.

第十四条 应用商店条款 Article 14: App Store Terms

通过 Apple App Store 或 Google Play 获取的应用，您同时受其标准许可/EULA 约束；在适用法律允许范围内，Apple/Google 为本协议的第三方受益人。

For applications obtained through Apple App Store or Google Play, you are also bound by their standard licenses/EULA; to the extent permitted by applicable law, Apple/Google are third-party beneficiaries of this agreement.

第十五条 适用法律与争议解决 Article 15: Applicable Law and Dispute Resolution

若您属于消费者且所在法域存在强制性消费者保护规则，与本协议冲突时，以该强制性规则为准。双方应先行协商；不成则提交平台所在地有管辖权的法院。

If you are a consumer and there are mandatory consumer protection rules in your jurisdiction that conflict with this agreement, the mandatory rules shall prevail. Parties should first negotiate; if unsuccessful, submit to the court with jurisdiction where the platform is located.

第十六条 通知与联系 Article 16: Notices and Contact

平台可通过官网公告、应用内通知或电子邮件等方式发出通知。联系方式（含客户支持）：[email protected]。
